Terms of Service

Effective date: Sept 01, 2026

Last updated: Nov 01, 2026

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are an agreement between you and VitalFlow Institute of Human Performance Inc., a corporation incorporated in Canada and operating as VitalFlow ("VitalFlow", "we", "us"). They govern your use of our website, digital programs, learning materials, assessments and related services (the "Services").

By creating an account, purchasing, or accessing any VitalFlow program, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of an organization, you confirm you have authority to bind it, and "you" includes that organization.

If your organization has signed a separate agreement or order form with us, that document governs where it conflicts with these Terms.

2. About our programs

VitalFlow delivers the Adaptive Human Thriving System™ (AHTS™): structured, evidence-informed mind-body movement practices inspired by Tai Chi and Qigong principles, designed to support wellbeing and workplace performance. Programs include Orientation lessons, Practice lessons, Workday Resets, self-assessments and supporting materials, delivered mainly online.

Educational purpose only. Our programs are for general wellbeing and education. They are not medical, psychological, physiotherapy or other clinical care, and they do not diagnose, treat or prevent any condition. Using our Services does not create a practitioner–patient relationship.

No guaranteed results. Individual outcomes vary with health, practice frequency and other factors. We do not guarantee any specific health, stress, fatigue or performance result. References to published research describe that research, not a promise of your results.

3. Health and safety

Our programs involve gentle physical movement, standing, weight shifting and balance work. Please read this section carefully.

  •  Check with a health professional first if you are pregnant, recovering from injury or surgery, have a heart, blood pressure, joint, balance or neurological condition, have had falls, or have any other concern about physical activity.
  •  Work within your own limits. Every movement is optional. Reduce the range, slow down, use a chair or wall for support, or skip any movement that causes pain, dizziness, shortness of breath or discomfort, and stop immediately if any of these occur.
  •  Practise in a safe space, clear of obstacles, on a non-slip surface, in suitable footwear. Do not practise while driving, operating equipment, or anywhere a loss of balance could cause harm. Workday Resets are designed to be done at a desk or standing in place; use judgment about your surroundings.
  •  Assessments are not diagnoses. Self-assessment scores describe how you reported feeling at a point in time. If a result or your experience concerns you, speak to a qualified health professional. If you are in crisis, contact local emergency services.

You participate voluntarily and accept the ordinary risks of light physical activity. To the extent permitted by law, you are responsible for deciding whether our programs are suitable for you. Nothing in this section limits any right you have under law that cannot be waived, or our responsibility for our own negligence where the law does not allow it to be excluded.

4. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to create an account. You must give accurate information and keep it current.

Your login is personal to you. You may not share, transfer or resell access. You are responsible for keeping your password confidential and for activity under your account. Tell us promptly if you believe your account has been accessed without permission.

5. Individual subscriptions and purchases

Pricing. Prices, currency, billing frequency and applicable taxes are shown at checkout before you pay. Prices are in Canadian dollars unless stated otherwise.

Automatic renewal. Monthly and annual subscriptions renew automatically at the end of each billing period, at the price then in effect, until you cancel. For annual subscriptions, we will email you a reminder at least 15 days before renewal, stating the renewal date and price.

Cancelling. You can cancel at any time in your account settings, without contacting us. Cancellation stops future renewals; you keep access until the end of the period you have paid for.

Price changes. We will give you at least 15 days' notice by email of any price increase to your subscription. The new price applies from your next renewal after the notice period. If you do not agree, you can cancel before it takes effect.

6. Organizational licences

These terms apply when an organization ("Organization") buys access for its employees, staff or members ("Participants").

Order form governs. Seat numbers, term, price, renewal method and any custom terms are set out in the checkout page, order form or signed agreement for that purchase. Where those conflict with these Terms, they govern.

Named-user seats. Each seat is for one named individual. A seat is used once access is granted to that person's email address. Seats are not shared or concurrent pool licences, and one person may not use another's seat.

Reassigning seats. An Organization may reassign a seat when a Participant leaves the Organization, up to one reassignment per seat per licence term. The original Participant's access ends on reassignment.

Organization administrators. An Organization may nominate a coordinator to manage its cohort. Coordinators can see their own Organization's Participant list and participation information described in Section 8. They do not receive program access unless also assigned a seat.

Organization responsibilities. The Organization will invite Participants only for voluntary participation, share Section 3 (Health and safety) with them, and not require participation as a condition of employment or use program data in performance evaluation or employment decisions.

Term and renewal. Licences run for the term in the order form, normally 12 months. Unless the order form says otherwise, licences do not renew automatically; we will send renewal details at least 30 days before expiry. Participant access ends when the licence ends.

Invoices. Invoiced amounts are due within 30 days. We may suspend access for amounts more than 15 days overdue after giving written notice.

7. Trainer Certification and live services

Trainer Certification. AHTS™ Trainer Certification is a separate professional program with its own enrolment terms and a Trainer Agreement. Completing certification recognizes training completed. It does not by itself give you any right to use the VitalFlow or AHTS™ names or marks, to reproduce our materials, or to offer AHTS™ programs to others. Those rights exist only as written in a signed Trainer Agreement, and only while it is in force.

Live and in-person sessions. Optional live online or in-person sessions are offered separately at the price and on the cancellation terms shown when you book. Section 3 applies to them in full. You must follow the instructor's safety directions and any venue rules.

8. Privacy, assessments and what organizations can see

Our Privacy Policy explains how we collect, use and protect personal information, and forms part of these Terms.

Assessments. Programs may include optional self-assessments about stress, fatigue, resilience and focus. Answering is voluntary and you can skip any assessment without losing program access. We use responses to show your progress and, in de-identified and aggregated form, to measure and improve program outcomes.

What your Organization can see. If you take part through your employer or another Organization, it may see: that you have been enrolled, whether you have activated your account, and your lesson and module completion. It may also receive aggregated results combining at least 10 Participants. Your Organization will not see your individual assessment answers or scores.

Service providers. We use third-party providers to host and deliver the Services and process payments. They may store data outside Canada, including in the United States, where it may be accessible to authorities under local law.

Communications. We send service emails about your account, program schedule, renewals and safety. Marketing emails are sent only with your consent and include an unsubscribe link.

9. Intellectual property

Your licence. While your access is active, we give you a personal, non-exclusive, non-transferable, revocable licence to view and use the materials for your own wellbeing. For Organizations, the licence is for internal use by assigned Participants only.

What is not allowed. You may not download (except materials we mark as downloadable), screen-record, copy, adapt, distribute, resell, publicly display or teach from our materials, or use them to create a competing program, course or AI training data set, without our written permission.

Feedback. If you send us suggestions or testimonials, we may use them to improve the Services. We will ask for your separate permission before publishing your name, image or testimonial.

10. Acceptable use

You agree not to: share or sell account access; bypass access controls or download protections; scrape, copy or bulk-download content; upload harmful code; harass other users in any community space; post unlawful or infringing content; or misrepresent yourself as affiliated with or certified by VitalFlow when you are not.

11. Payments, taxes and refunds

Payments are processed by third-party providers such as Stripe. We do not store full card numbers. Applicable sales taxes (such as GST/HST) are added at checkout or on invoice.

Individual subscriptions.

  •  Monthly plans: no refunds for partial months; cancel any time to stop future charges.
  •  Renewals: annual renewals are refundable on request within 14 days of the renewal charge.

Organizational licences. Refunds, if any, are as stated in the order form. Unused seats are not refundable mid-term.

Breach. Accounts terminated for breach of Section 9 or 10 are not entitled to a refund, except where the law requires otherwise.

Nothing in this section limits refund or cancellation rights you have under consumer protection law.

12. Platform, availability and changes to programs

Our programs are currently hosted on VitalFlow programs are delivered through VitalFlow's online and mobile digital platforms. Access may require an internet connection, compatible device, and creation of a user account. We may use third-party technology providers to support the delivery, hosting, payment processing, analytics, communications, and operation of our services.

We aim for reliable access but do not guarantee uninterrupted service; maintenance, outages at our providers, or your own internet connection may affect access. You are responsible for a compatible device and internet connection.

We may update, reorder or replace lessons to improve programs. If we remove a material part of a program you have paid for during your current term, we will provide a reasonable substitute or a pro-rated refund for the affected period.

13. Disclaimers and limitation of liability

Except as stated in these Terms and to the extent permitted by law, the Services are provided "as is" and "as available", without warranties of fitness for a particular purpose or of any health outcome.

To the extent permitted by law:

  •  VitalFlow is not liable for indirect, incidental, special or consequential damages, or for lost profits, data or business opportunity.
  •  VitalFlow's total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim arose.

Where liability cannot be excluded, our total liability will be limited to the amount you paid for the specific service giving rise to the claim, unless the law requires otherwise.

Consumers. If you are a consumer, these limits apply only as far as the consumer protection law of your province, state or country allows. They do not limit liability for death or personal injury caused by our negligence, for fraud, or any other liability that cannot be limited by law.

Organizations. An Organization will indemnify VitalFlow against third-party claims arising from its breach of Section 6 (including requiring participation or misusing program data), except to the extent caused by VitalFlow.

14. Suspension and termination

You may close your account at any time. We may suspend or end your access if you materially breach these Terms, including unauthorized sharing or recording, or if required by law. Where practical, we will give notice and a chance to fix the issue first, except for serious or repeated breaches.

Sections 3, 9, 11, 13, 16 and 17 continue after your access ends.

15. Changes to these Terms

We may update these Terms as our Services or the law change. We will post the updated Terms with a new "Last Updated" date. For material changes, we will email active subscribers and Organization contacts at least 30 days before they take effect. If you do not agree, you may cancel before the effective date. Changes do not alter a signed Organization agreement during its term.

16. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction.

If you are a consumer living outside Ontario, you also keep the protection of the mandatory consumer laws of where you live, and may bring a claim in your local courts where those laws allow.

Before starting any formal proceeding, please contact us so we can try to resolve the issue informally within 30 days.
